Many EMDs focus on certain market sectors as they are required to understand and approve the offering of private issuers that they work with prior to selling such securities to investors.

It typically includes information such as risk and objectives, terms of investment, and a summary of the terms of the investment. This information allows investors to make an informed decision while easing the Fund Manager of the regulatory burden, time, and expense of preparing a prospectus.
